Welcome to SUSS iBookstore. This website and the services available on this website (“Webstore”) are operated by Singapore University of Social Sciences (“SUSS”, “us”, “we” or “our”).
These web-based services may include any one or more of the following: browsing, downloading and purchasing digital content, including, without limitation, e-books, digital study guides and applications (“Digital Content”), print-on-demand and any other features, functionality or activities which may be available from time to time on this website.
Such services are referred to herein as “Webstore Services”.
These Terms of Use (“Terms”) govern your use of the Webstore Services and our other websites.
1. Acceptance of Terms
By accessing or using the Webstore, you agree that you have read, understand and agree to be bound by these Terms and the Privacy Policy which describes how we collect, use and disclose your data and you consent to such collection, use and disclosure.
IF YOU DO NOT AGREE OR DO NOT COMPLY WITH THESE TERMS AND THE PRIVACY POLICY, YOU ARE NOT PERMITTED TO USE THE WEBSTORE OR ANY OTHER SUSS WEBSITE OR RELATED SERVICE.
We may update or change the Terms from time to time in order to reflect changes in the Webstore Services, changes in the law or other reasons as deemed necessary by SUSS, in its sole discretion.
Your continued access to or use of the Webstore Services after any such change shall constitute your consent to such change.
Unless otherwise expressly stated, any new features that change or improve the Webstore Services shall be subject to these Terms, as modified from time to time.
2. Privacy and Personal Information
You may be required to register to use the Webstore Services.
To set up an account, you may be required to provide information about yourself, and you are required to update this information as necessary in order to keep it current.
In addition, data pertaining to your online transactions, purchase/download history and usage patterns may be collected, analyzed and stored by us.
We agree that we will only use and/or disclose your personal information in accordance with the terms of the Privacy Policy.
3. User Account Responsibility
If you are given a password to access the Webstore Services, you are responsible for maintaining the confidentiality of your password. You are responsible for all activities that occur under your account and you agree to notify us immediately of any unauthorized use of your account or any other breach of security.
SUSS will not be responsible for any loss, damages, liability costs and/or legal fees that you may incur as a result of any person using your account or your password, either with or without your knowledge.
You will be liable for losses, damages, liability, costs and/or legal fees on a full indemnity basis incurred by SUSS or a third party due to someone else using your account.
You may not use anyone else’s account at any time.
If you provide any information that is false, inaccurate, out of date or incomplete, or we have reasonable grounds to suspect that such information is false, inaccurate, out of date or incomplete, we may suspend or terminate your account and refuse any and all current or future use of the Webstore Services or any portion thereof.
4. Limited License; Permitted Uses
Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-sublicensable, non-transferable and revocable right to (a) access the Webstore and use the Webstore Services solely for personal, non-commercial purposes and (b) print out content and information purchased and/or downloaded from the Webstore for internal, personal, non-commercial purposes and provided that you maintain all copyright and other policies contained therein.
Your right to use the Webstore is not transferable or assignable. Any password or right given to you to obtain Digital Content, information or documents is not transferable or assignable.
Use of the Webstore Services or the Webstore for any illegal purposes, or any other purpose not expressly permitted in these Terms, is strictly prohibited. Without limitation, you shall not: (a) (unless expressly permitted by these Terms) copy, print (except for the express limited purpose permitted by this Section 4), republish, display, display, transmit, sell, rent, lease, loan or otherwise make available in any form or by any means all or any portion of the Webstore or any Digital Content retrieved therefrom; (b) use the Webstore or any materials obtained from the Webstore to develop, as a component of, any information, storage and retrieval system, database, information base or similar resource (in any media now existing or hereafter developed), that is offered for commercial distribution of any kind; (c) use any content from the Webstore in any manner that may infringe any copyright, intellectual property right, proprietary right, or property right of SUSS or any third parties, including creating compilations or derivative works; (d) remove, change or obscure any copyright notice or other proprietary notice or terms of use contained in the Webstore or Digital Content; (d) attempt to by-pass, modify or defeat any of the security features of the Webstore, including without limitation, by altering any digital rights management functionality of the Webstore or any Digital Content; (e) make any portion of the Webstore available through any timesharing system, service bureau, the Internet or any other technology now existing or developed in the future; (f) interfere with or damage the Webstore or our servers, including without limitation, through the use of viruses, Trojan horses, harmful codes, denial of service attacks, packet or IP spoofing, forged routing or electronic mail address information, or similar methods of technology; (g) remove, decompile, disassemble or reverse engineer any Webstore software or use any network monitoring or discovery software to determine the Webstore architecture; (h) use any automatic or manual process to harvest information from the Webstore; (i) use the Webstore for the purpose of gathering information for or transmitting (1) unsolicited commercial email; (2) email that makes use of headers, invalid or non-existent domain names, or other means of deceptive addressing; and (3) unsolicited telephone calls or electronic mail or facsimile transmissions; (j) use the Webstore in a manner that violates any applicable law regulating email, facsimile transmissions or telephone solicitations; (k) use any trademarks or other content for advertising, promotions or other commercial purposes; (l) submit false or misleading information to us or post material that violates, misappropriates or infringes on a third party’s intellectual property or other rights; (m) interfere with any third party’s ability to use or enjoy, or our ability to provide, the Webstore and/or the Webstore Services; (n) deep link to portions of the Webstore or frame, inline link or similarly display any of the Webstore or portions of the Webstore; or (o) assist or encourage any third party in engaging in any activity restricted by these Terms.
SUSS reserves the right, but has no obligation, to monitor your use of the Webstore and the Webstore Services for compliance with these Terms. We reserve the right to investigate complaints or reported violations of these Terms and to take any action we deem appropriate, including but not limited to reporting any suspected unlawful activity to law enforcement officials, regulators or other third parties and disclosing any information necessary or appropriate to such persons or entities relating to your profile, email address, usage history, posted materials, IP addresses and traffic information.
5. Intellectual Property
The Webstore Services and all the content offered through it, including without limitation, text, photos, graphics, layout, audio clips, video clips, video files and everything else you see and hear through the Webstore Services (collectively, the “Content”) are owned exclusively by SUSS or others who have licensed their material to SUSS. The Content is protected by copyrights, trade secrets, or other proprietary rights which means that you and others using the Webstore Services are not permitted to use the Content in any manner, except as expressly permitted under section 4 above. Additionally, any of the names and logos (collectively, “Trademarks”) that appear on the Webstore and/or Webstore Services are owned by SUSS or others who have licensed their use to SUSS. The Trademarks may not be used in any manner without the prior permission of the owners. You understand that any unauthorized use of the Trademarks or Content would result in irreparable injury to SUSS for which monetary damages would be inadequate and in such event, SUSS will have the right, in addition to other remedies available at law and in equity, to immediate injunctive relief to prevent any such unauthorized use.
6. Availability of Digital Content
We reserve the right to modify or discontinue the offering of any Digital Content at any time. These Terms are applicable to the Digital Content and the Digital Content may be subject to other terms and restrictions. If a unit of Digital Content becomes unavailable after purchase but prior to download, your sole and exclusive remedy is the refund of the purchase price for such Digital Content. Some Digital Content may not remain available for re-download from the Webstore if, for example, the publisher of the Digital Content no longer retains the rights to that Digital Content. Digital Content already downloaded to your computer or an external/mobile device will generally not be affected.
The Webstore Services are not intended to be a secure back-up for data, including, without limitation, the back-up of e-books or iStudyGuides that you may have purchased and/or downloaded through the Webstore. You are solely responsible for storing and backing up your downloaded content.
7. Third Party Services
SUSS may permit third parties to provide print-on-demand and/or other services in relation to the Digital Content (“Service Providers”). For this purpose, Service Providers may offer their services directly to you through the Webstore or we will provide links to the websites controlled or operated by such Service Providers (“SP Sites”) for your convenience.
We will not be responsible if a SP Site is not working correctly. All rules, policies (including privacy policies) and operating procedures of the Service Providers will apply to you while on any SP Sites. You are solely responsible for any dealings with the Service Providers who support the Webstore Services or are identified on the Webstore. Service Providers are responsible for all aspects of order processing, fulfillment, billing and customer service. We may not be a party to the transactions entered into between you and a Service Provider. We are not responsible for information provided by you directly to Service Providers. You acknowledge and agree that SUSS may provide your personal data to a Service Provider to enable the Service Provider to properly perform services requested by you in relation to the Digital Content provided always that SUSS shall only provide such personal data to the extent that is relevant and necessary and always in accordance with the Privacy Policy. SUSS and the Service Providers are independent contractors and neither party has authority to make any representations or commitments of behalf of the other. SUSS is not responsible for the acts or omissions of any Service Provider, their terms of service or privacy policy or the failure of a Service Provider to adhere to its terms of service or privacy policy, or any loss, damages, liability, costs and/or legal fees that you may incur from or related to such Service Provider’s services or products.
YOU AGREE THAT USE OF OR PURCHASE FROM SERVICE PROVIDERS MERCHANTS IS AT YOUR SOLE RISK AND IS WITHOUT WARRANTIES OF ANY KIND BY US, EXPRESSED, IMPLIED OR OTHERWISE INCLUDING WARRANTIES OF TITLE, FITNESS FOR PURPOSE, MERCHANTABILITY OR NON-INFRINGEMENT. UNDER NO CIRCUMSTANCES ARE WE LIABLE FOR ANY DAMAGES ARISING FROM THE TRANSACTIONS BETWEEN YOU AND MERCHANTS OR FOR ANY INFORMATION APPEARING ON SERVICE PROVIDER SITES OR ANY OTHER SITES LINKED TO OUR WEBSTORE.
8. Third Party Content, Advertising
Third party content may appear on the Webstore or may be accessible via links from the Webstore. We are not responsible for and assume no liability for any mistakes, misstatements of law, defamation, omissions, falsehood, obscenity, pornography or profanity in the statements, opinions, representations or any other form of content on the Webstore. You understand that the information and opinions in the third party content represent solely the thoughts of the author and is neither endorsed by nor does it necessarily reflect our belief.
The Webstore may contain advertising and sponsorships. Advertisers and sponsors are responsible for ensuring that material submitted for inclusion on the Webstore is accurate and complies with applicable laws. We are not responsible for the illegality or any error, inaccuracy or problem in the advertiser’s or sponsor’s materials.
9. Representations; Warranties and Disclaimers
THE WEBSTORE SERVICES, DIGITAL CONTENT AND ALL MATERIALS, INFORMATION, PRODUCTS AND SERVICES INCLUDED IN OR MADE AVAILABLE IN CONNECTION WITH THE WEBSTORE SERVICES, ARE PROVIDED “AS IS”, “AS AVAILABLE”, WITH “ALL FAULTS”, AND ALL WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED (INCLUDING BUT NOT LIMITED TO THE DISCLAIMER OF ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE). SUSS AND ITS LICENSORS DISCLAIM ANY WARRANTIES REGARDING THE CORRECTNESS, ACCURACY, ADEQUACY, USEFULNESS, TIMELINESS, SECURITY, RELIABILITY, AVAILABILITY, PERFORMANCE OR OTHERWISE OF THE WEBSTORE SERVICES, INCLUDING WITHOUT LIMITATION, ANY WARRANTIES REGARDING PRODUCTS BEING IN STOCK OR GUARANTEES THAT PRODUCTS WILL NOT BE LOST IN TRANSIT. SUSS AND ITS LICENSORS DISCLAIM ANY WARRANTIES FOR ANY INFORMATION OR ADVICE OBTAINED THROUGH ANY WEBSTORE SERVICES. SUSS AND ITS LICENSORS DISCLAIM ANY WARRANTIES FOR SERVICES OR GOODS RECEIVED THROUGH OR ADVERTISED ON THE WEBSTORE OR IN CONNECTION WITH ANY WEBSTORE SERVICES OR RECEIVE THROUGH ANY LINKS PROVIDED BY THE WEBSTORE/WEBSTORE SERVICES AS WELL AS FOR ANY INFORMATION OR ADVICE RECEIVED THROUGH ANY LINKS PROVIDED IN THE WEBSTORE/WEBSTORE SERVICES.
SUSS DOES NOT REPRESENT OR WARRANT THAT THE FUNCTIONS CONTAINED ON THE WEBSTORE WILL BE UNINTERRUPTED OR ERROR-FREE, SECURE, THAT DEFECTS WILL BE CORRECTED, THAT THE WEBSTORE OR SERVICES WILL WORK IN THE CONFIGURATION OR WITH HARDWARE OR SOFTWARE YOU USE OR THAT THE WEBSTORE OR THE SERVERS THAT MAKE THE WEBSTORE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE WEBSTORE, DIGITAL CONTENT AND INFORMATION MAY CONTAIN TECHNICAL INACCURACIES OR TYPOGRAPHICAL ERRORS OR OMISSIONS. SUSS ASSUMES NO RESPONSIBILITY FOR AND DISCLAIMS ALL LIABILITY FOR ANY SUCH INACCURACIES, ERRORS OR OMISSIONS.
WE MAY MAKE CHANGES TO THE FEATURES, FUNCTIONALITY OR CONTENT OF THE WEBSTORE AT ANY TIME. WE RESERVE THE RIGHT IN OUR SOLE DISCRETION TO EDIT OR DELETE ANY DOCUMENTS, INFORMATION OR OTHER CONTENT APPEARING ON THE WEBSTORE.
YOU AGREE THAT YOUR USE OF THE WEBSTORE SHALL BE AT YOUR SOLE RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF MATERIAL OR DATA.
10. Limitation of Liability
IN NO EVENT WILL SUSS, ITS AFFILIATES OR THEIR OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM, THE USE OF OR THE INABILITY TO USE THE WEBSTORE, WEBSTORE SERVICES OR DIGITAL CONTENT, EVEN IF SUSS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF OTHER REMEDIES FAIL OF THEIR ESSENTIAL PURPOSES, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE OR OTHER TORT, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE WEBSTORE, USE OR PERFORMANCE OF OR FAILURE TO PROVIDE WEBSTORE SERVICES, PRODUCTS PROVIDED THROUGH THE WEBSTORE SERVICES OR OTHER CONTENT AVAILABLE FROM THE WEBSTORE. IN ANY EVENT, OUR AGGREGATE LIABILITY IN CONNECTION WITH ANY CLAIM ARISING OUT OF OR RELATING TO THE WEBSTORE AND/OR THE PRODUCTS, INFORMATION, DOCUMENTS AND SERVICES PROVIDED HEREIN OR HEREBY SHALL NOT EXCEED S$100 AND THAT AMOUNT SHALL BE IN LIEU OF ALL OTHER REMEDIES WHICH YOU MAY HAVE AGAINST US AND ANY AFFILIATES.
SUSS DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE WEBSTORE OR ANY HYPERLINKED WEBSITE OR FEATURED IN ANY ADVERTISING, AND SUSS WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY SERVICE PROVIDERS OF PRODUCTS OR SERVICES. SUSS WILL NOT BE LIABLE FOR THE OFFENSIVE OR ILLEGAL CONDUCT OF ANY THIRD PARTY. YOU VOLUNTARILY ASSUME THE RISK OF HARM OR DAMAGE FROM THE FOREGOING.
THE FOREGOING LIMITATION OF DAMAGES AND LIABILITY WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.
11. Suspension and Termination
SUSS will determine, in our discretion, whether there has been a breach of these Terms through your use of our sites. When a breach of these terms has occurred, we may take such actions as we deem appropriate.
Failure to comply with these Terms constitutes a material breach of the Terms and may result in our taking all or any of the following actions: (a) immediate, temporary or permanent withdrawal of your right to use controlled areas of our sites; (b) immediate, temporary or permanent removal of any posting or material uploaded by you to our sites; (c) issue a warning to you; (d) legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach; (e) disclosure of such information to law enforcement authorities as SUSS reasonably feels is necessary. To the extent permitted by law, SUSS excludes liability for actions taken in response to breaches of these Terms. The responses described in these Terms are not limited and we may take other action we reasonably deem appropriate.
12. University Disciplinary Procedures
Use of the Webstore by staff or students of SUSS will also be subject to the rules and provisions set out in the applicable SUSS disciplinary procedures and codes of conduct.
13. Use of Information
All comments, feedback, suggestions, ideas, and other submissions that you disclose, post, submit or offer to us in connection with your use of or related to the Webstore (collectively, "Comments") will become our exclusive property. In addition, by submitting such Comments to us, you grant to us a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, sublicensable (through multiple tiers) and transferable license to use, copy, reproduce, manufacture, distribute, translate, perform, modify, display, port, transmit, create derivative works of, make, have made, offer to sell, sell, import and otherwise exploit related rights in your Comments in connection with the Webstore and SUSS’s (and its successor's) business in any form, media or technology known or hereafter developed without compensation or attribution to you or any third party. Your submission of a Comment constitutes a waiver of any claim based on moral rights, unfair competition, breach of implied contract, breach of confidentiality and any other legal theory relating to submissions. We are not and will be under no obligation to hold any Comments in confidence or respond to any Comments. You represent and warrant that you have the right to submit your Comments, and you are and shall remain solely responsible for your Comments including its legality, reliability appropriateness and originality. If you post Comments on the Webstore, your Comments will be available to other users of the Webstore and the public.
14. Payments
You represent and warrant that if you are purchasing something from us or from Service Providers that (i) any credit information you supply is true and complete, (ii) charges incurred by you will be honored by your credit card company, and (iii) you will pay the charges incurred by you at the posted prices, including any applicable taxes.
15. Indemnity
You agree to indemnify and hold SUSS its parents, subsidiaries, affiliates, officers, employees and agents, harmless from any claim, demand or damage, including reasonable legal fees on a full indemnity basis, asserted by any third party due to or arising out of your use of or conduct on the Webstore Services.
16. Information and Press Releases
The Webstore may contain information and press releases about us. We disclaim any duty or obligation to update this information or any press releases. Information about companies other than ours contained in the press release or otherwise, should not be relied upon as being provided or endorsed by us.
17. Legal Compliance
You agree to comply with all applicable domestic and international laws, statutes and regulations regarding your use of the Webstore and the Digital Content and materials provided therein.
18. Force Majeure
Under no circumstances shall SUSS or its licensors be held liable for any delay or failure in performance resulting directly or indirectly from an event beyond SUSS’s reasonable control.
19. No Waiver; Severability
No waiver of any of these Terms will be binding unless in writing. No waiver of any of these Terms shall be deemed a further or continuing waiver of such terms or any other term, and the failure of SUSS to exercise or enforce any right or provision of these Terms does not constitute a waiver of such right or provision. If a court of competent jurisdiction finds any provision of these Terms to be invalid, the parties agree that the court should endeavour to give effect, to the maximum extent permitted by law, to the parties’ intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect.
20. Entire Agreement; Assignment; Successors
These Terms constitute the entire agreement between you and SUSS and govern your use of the Webstore and any Webstore Services provided by SUSS, superseding any prior agreements between you and SUSS on the subject matter (including, but not limited to, any prior versions of these Terms). You also may be subject to additional terms that may apply when you use certain Webstore Services, third-party content or third-party software. These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by SUSS without restriction. These Terms bind and inure to the benefit of each party and the party's successors and permitted assigns. These Terms may not be modified by an oral statement by a representative of SUSS. We are independent contractors, and no agency, partnership, joint venture or employee-employer relationship is intended or created by these Terms. These Terms incorporate and apply to the Privacy Policy. You agree that any agreements made by and between you and us in electronic form are as legally binding as if made in physical written form.
21. Applicable Law
These terms shall be governed by the laws of Singapore.
